Capstone Project - NDA Agreement

 Non Disclosure Agreement -

The following Non Disclosure Agreement [NDA], made date : 15/12/2025, is by and between:

Nottingham Trent University, a university registered in England at 50 Shakespeare St, Nottingham NG1 4FQ 

(the Recipient) 

and

Hearthvalley, a studio company registered in England at 6-10 Convent St, Nottingham NG1 3LL 

(the Discloser) 

1. The Discloser (Hearthvalley), intends to disclose all confidential information to The Recipient [Nottingham Trent University] for the purpose of collaboration in regards to the context of Game development and creation.

2. The Recipient (Nottingham Trent University) agrees upon refraining from sharing information relating to the purpose outlined in section 1.

3. The Recipient (Nottingham Trent University) agrees upon ensuring the confidentiality and safety of information received. Such information is forbidden to be shared with a third party unless said third party is bound by the same Recipient contract.

All statements in section 1-3 are to be applied to any and all information divulged by The Discloser (Hearthvalley) to The Recipient (Nottingham Trent University), this applies to any and all information recorded excluding:

- Information that currently resides / will soon reside within Public Domain ( unless entered within due to a breach of Confidentiality ).

- Prior known information to the Recipient (Nottingham Trent University) outside of influence of The Discloser(Hearthvalley) and subsequent Disclosure agreement.

- That information divulged by the The Discloser (Hearthvalley) inhibits information required to be presented under order of the law.

- The Recipient (Nottingham Trent University) must provide all copies of confidential information shared by The Discloser (Hearthvalley) upon request

This agreement does not grant The Recipient (Nottingham Trent University) permission to licence or gain intellectual property rights pertaining to any element of the stated purpose (section 1).

Statements mentioned in section 2 and 3 are effective thus forward for a duration of 5 years.

This Agreement is governed by, and is to be construed in accordance with, English law. The English Courts will have non-exclusive jurisdiction to deal with any dispute which has arisen or may arise out of, or in connection with, this Agreement.

Purpose of an NDA -

In this situation, the purpose of this NDA is to ensure no details relating to the production of my game shall be shared by the institution Nottingham Trent University for the purpose of infringing upon, or creating a licence that goes against my intellectual property. A Non disclosure agreement should be created and signed before any information relating to the project is to be shared to ensure safety of the IP.

In this example, I have chosen to use my shared company name (Hearthvalley) in place of my actual name as I intend to publish this game under that business name rather than my own. Although this contract is not legally binding due to the lack of signatures and relevant witnesses, I did allow the second member of the company to view the creation of this agreement and informed them of all the details included. I feel this is good practice in case this document was genuine.

With my NDA agreement completed, I would like to complete my Copyright & IP infringement section to cross the entirety of MLO4 from my to do list. This section has mostly been comprised of fairly short but important sections so if i can get these out of the way early into the project, i won't have to worry about them later on.
